Board of Directors

In general, the Board of Directors is responsible for:

  • Managing the company and being accountable for its operations in line with the company’s objectives
  • Managing the company’s assets and resources
  • Preparing and implementing the company’s annual work plan

Board of Commissioners

In general, the Board of Commissioners is responsible for:

  • Overseeing the Board of Directors’ policies and providing advice
  • Approving and overseeing the implementation of the company’s work plan
  • Monitoring and evaluating the performance of the Board of Directors
  • Overseeing risk management and ensuring good corporate governance
  • Monitoring the company’s compliance with applicable regulations

Risk Management

Mirae Asset has a comprehensive risk management framework to identify, assess, and mitigate risks across all aspects of our business. This includes market risk, credit risk, operational risk, and liquidity risk. We continuously monitor and manage these risks to ensure the stability and sustainability of our operations.

The Code of Ethics aims to ensure employees comply with applicable regulations and provides day-to-day guidance for professional conduct. In doing so, business ethics and work ethics become part of the company’s culture

Compliance Function

Securities companies operate under the laws and regulations set by the regulator, the Financial Services Authority (OJK), as well as Self-Regulatory Organizations (SROs) such as the Indonesia Stock Exchange (IDX), KSEI, and KPEI. As business activities become more complex, companies face various risks, including compliance risk.

To manage and mitigate these risks, PT Mirae Asset Sekuritas Indonesia has a dedicated Compliance Unit/Division. Its structure and responsibilities follow applicable requirements, and it is overseen by the Board of Directors through the Director in charge of the Compliance Function.

The Compliance Unit/Division is responsible for ensuring the compliance function is carried out effectively and that the company adheres to applicable regulations, internal policies, and established procedures.

To support effective implementation, the Board of Commissioners and/or the Board of Directors provide active oversight through periodic monitoring, approval of policies and procedures, regular reporting, requests for clarification, and meetings when necessary.

Internal Audit Function

Internal Audit Function

To help ensure PT Mirae Asset Sekuritas Indonesia operates in line with its vision and mission, the Internal Audit function conducts independent reviews and evaluations. Its purpose is to confirm that operations comply with applicable requirements and to help identify and manage potential risks.

Internal Audit also supports the company’s objectives through activities such as data sampling and, when necessary, investigations. The results help assess the effectiveness of internal controls, risk management practices, and corporate governance processes.

Roles & Responsibilities of Internal Audit

  • Develop and execute the Annual Internal Audit Plan
  • Review and evaluate internal controls and risk management systems in line with company policies
  • Assess efficiency and effectiveness across finance, accounting, operations, human resources, marketing, and other business functions
  • Ensure compliance with applicable laws and regulations
  • Provide objective recommendations and insights across all management levels
  • Prepare audit reports and present findings to the Compliance Director, President Director, and Board of Commissioners
  • Monitor and report the implementation of corrective actions
  • Conduct special audits when required
